DALLAS– May 19, 2004 – Entrust, Inc. [NASDAQ: ENTU], a world-leading
provider of Identity and Access Management solutions, today announced its intent
to purchase intellectual property and certain other assets of AmikaNow!
Corporation, a privately-held provider of e-mail content scanning and anti-spam
tools designed to help enterprise and government customers comply with corporate
e-mail policies and regulatory guidelines such as the Health Insurance
Portability and Accountability Act (HIPAA), Gramm-Leach-Bliley (GLB) and the
Canadian federal government’s Personal Information Protection and Electronic
Documents Act (PIPEDA).
The two companies have entered into a letter of intent for the acquisition of
AmikaNow!’s advanced content scanning and analysis technology, which is expected
to close later this calendar quarter subject to approval by AmikaNow!’s
shareholders and other customary closing conditions. The addition of this
technology will further strengthen and expand the portfolio of products within
the Entrust Secure Messaging and Secure Data Solutions. Using highly
sophisticated content analysis tools, the technology automatically analyzes and
categorizes e-mail message and document content based on the contextual meaning,
not simply pre-defined word lists. Policies can be customized to suit the
corporate environment and be automatically enforced at the boundary to help
customers reduce business risk and comply with privacy and securities laws
including HIPAA, GLB, PIPEDA and various SEC regulations. For example, in an
e-mail environment this technology can be used to intercept and forward
sensitive messages to a boundary encryption server, warn employees about their
use of appropriate or offensive language, filter spam on incoming messages and
much more.
“This acquisition will give us leading capabilities to expand the breadth of
our solution portfolios,” said Bill Conner, chairman and CEO, Entrust, Inc.
“Entrust customers will benefit from a modular yet comprehensive secure
messaging product suite that addresses the emerging secure email boundary market
including policy management, content filtering, anti-spam, anti-virus, boundary
and end-to-end email encryption.”
Entrust will brand and integrate AmikaNow!’s technology within its solutions
portfolio and is targeting initial product deliverables by the end of Q4, 2004.
The company also intends to offer Entrust-branded advanced content analysis
capabilities as standalone products to customers.
According to a recent
Forrester Research report written by Jonathan Penn and Jan Sundgren, content
security - the management of security threats and other problems associated with
content like Web traffic, e-mail and other messaging - continues to rise on the
agenda of corporate IT security concerns. Forrester has recommended implementing
a comprehensive content security strategy that addresses all the problems
associated with content.*
The unique advanced content scanning and
compliance technology developed by AmikaNow! is based on research and
development advances in information theory and artificial intelligence, which
contribute to a more robust e-mail compliance solution.
It is anticipated
that some of AmikaNow’s technology team will join Entrust within its marketing
and products group headed by senior vice-president Kevin Simzer. AmikaNow!
founder, president and CEO, Dr. Sue Abu-Hakima is also expected to join Entrust
to help advise on product integration and strategy.
“We are extremely
excited that our innovative products and technology will be offered to Entrust
customers and continue to grow within Entrust,” said Dr. Sue Abu-Hakima.
“Approximately 97 percent of business communication today is through email.
Email is the double-edged sword which makes an enterprise very efficient, but at
the same time opens it to significant risk and is grinding to a halt under the
overwhelming burden of spam and viruses This is why email policy implementation
and monitoring is critical. Our advanced content analysis goes well beyond basic
keyword pattern matching to provide context-based analysis of e-mail message
content, helping protect employees and organizations from liability in this
increasingly regulated sphere.”
Financial terms of the planned
acquisition were not disclosed.
